Re: Debt Financing by  Al-Shufi Investment Company.
 
 
This letter will serve to confirm your agreement of the following:
 
1) XXXXX hereby consents to the assignment to His Excellency Mr. Yasser Al-Shufi of Al-Shufi Investment Company of 5% ROI annually until the exit period of 10 years as contained in the Debt Financing agreement  between His Excellency Mr. Yasser
Al-Shufi and XXXX (the "Agreement");
 
2) The aggregate investment amount for the debt financing shall be US$15,000,000.00 (Fifteen Million United States Dollars Only);
 
3) The final exercise of the financing after His Excellency Mr. Yasser Al-Shufi's approval, as and to the extent set forth above, shall be sufficient to invoke the full rights and obligations as set forth in the Agreement;
4) His Excellency Mr. Yasser Al-Shufi shall fund the debt financing and deliver the investment amount to XXXXX as soon as practicable immediately upon receipt of the Surety Bond and the payment of the premium therein.
 
5) His Excellency Mr. Yasser Al-Shufi requests xxxxx  to give full consideration to negotiation of the following business point,none of which shall be conditions to exercise of the debt financing or the closing thereof but are set forth herein solely as a non-binding expression of the parties' intent as to the direction of their future discussions:
 
 a) having discussions with His Excellency Mr. Yasser Al-Shufi regarding the possibility of Al-shufi Investment Company taking a position in your equity at a future date.
 
Except as modified by this letter, all terms and conditions of the Agreement remain in effect.
 
If the above accurately represents your understanding of your agreement with His Excellency Mr. Yasser Al-Shufi, I would appreciate you signing and returning a scanned copy of the Debt Financing Agreement Attached, together with a scanned copy of the deposit slip for the premium to me. The Proforma Invoice from the Surety containing  the account information for the deposit is also attached. Please also
complete and sign the bond Application form and the Surety Bond Form attached and return to me accordingly.
 
Provide me with your detailed account information where you intend to receive the investment amount on the attached payment validation form.
 
Once We acknowledge receipt of the completed documents and signed agreement  and your payment of the premium is confirmed by wire transfer in the account of the Surety, The Investor will make a wire transfer of the Investment amount of US$15,000,000.00 (Fifteen Million United States Dollars Only) to the Account information provided by you within 48 hours of the confirmation.
