Seagrove Property Management Company Refuses to Explain 'Emergency Board Meeting'

Here at the Nautilus Cove Condos there was a management company change from Seagrove on the Beach Property Management to Concord Management.

Seagrove was here first, then a change and Concord Management was there from March 1 to April 16th. Then it abruptly went back to Seagrove.

2 of the 3 BOD members met (via speakerphone) at the Seagrove Office in Santa Rosa Beach in what they call an "Emergency Board Meeting" which lasted 2 minutes (2:01 to 2:03 PM) on 4/16. (See 'unapproved minutes' below)

I asked the only BOD member elected by the owners why this management change. My inquiry was referred to Ross Pritchett, CAM, of Seagrove. The reply was that the BOD minutes are not required to show this.

I followed up with a more direct question asking him to provide the reason for the change. So far no reply.

So what we have here is a 2 minute "Emergency Meeting" with only the 2 Directors appointed Developer voting on the replacement and both of them voted by telephone at the Seagrove office. Now no one wants to talk about why this was necessary. Something smells with this rump meeting that neither Seagrove, Concord or the Board of Directors will explain.

My unofficial understanding of this abrupt switch is that Concord Management was notified by me of a pending civil suit that I was in the process of filing against Waterstone Resort Rentals and the NCC Board of Directors for the Waterstone breach of condo documents over a 10 month period and the BOD's continued refusal to enforce the documents. 3 days after I emailed and faxed the letter from my attorney to them, Concord was 'out' and Seagrove was back 'in'. It seems that Concord gave advice that those sections of the condo documents which I repeatedly cited, needed to be enforced against Waterstone and that the "Developer" who appoints 2 of the 3 BOD members would not allow them to be enforced. Thus Concord Management was either fired or they quit rather than be involved in a suit that was sure to be lost.

The issue involved here is that Waterstone purchased 4 units, has rented out at least 3 of the 4 to a 'labor contractor' for the use of imported foreign workers who work at the Marriott Hotel and resort in PCB. This use as a dormotory for imported workers is in violation of at least 3 sections of the condo documents.

This matter is now going to court and the inital attorney letters have been exchanged. You can see all this at:

Emergency Board Meeting Unapproved Minutes

Date: April 16, 2008

Location: Seagrove on the Beach Property Management office, 5311 E. Co. Hwy 30-A,
Santa, Rosa Beach, FL 32459

Call to Order: Association Manager Ross Pritchett called meeting to order at 2:01 p.m. Central Time.

Board Members Present: Dean Price and Jim Klohn via speakerphone. Jennifer Jones could
not make the meeting, but replied to Ross Pritchett by email with her recommendation to rehire
Seagrove on the Beach Property Management as the HOA manager.

Others Present: Ross Pritchett and Samantha Jarrett- Seagrove on the Beach Property
Management Association Managers.

Establish Quorum: A quorum was established with two of the three board members present via speakerphone. Both members waived notice.

Reinstatement of Management Company: Dean Price moved that the association reinstate the management agreement with Seagrove on the Beach effective today April 16, 2008. Jim Klohn seconded. Motion passed 2 Yes. Voting Yes was Dean Price and Jim Klohn.

Adjournment: Jim Klohn moved to adjourn. Dean Price seconded. Meeting adjourned at 2:03
p.m.

Nautilus Cove Condo's management company (Seagrove on the Beach) finally files Liens on units 305 (Kristoff) & 601 (Karami)!

So you miss a quarterly assessment, hey it happens - your out of town, the mail goes to an old address, the dog eats the bill, so no problem, right!

So maybe you miss 2 quarterly assessments, still no big Federal case! Miss 3 and that is really pushing it.

But here at NCC it seems you don't get a lien put on your property until 6 quarterly assessments are missed. That is 1 1/2 YEARS before the 'management company' bothers to do some managing! In the meantime those responsible owners who do pay are carrying the deadbeats for six quarters!

(Maybe the 'management company' would like to wait a year and a half to get paid? or maybe we need another 'management company', one that will actually tend to business???)
