In the past, there have been false and defamatory accusations about executives Thad Pryor and Jim Perretty, their companies and affiliates. A suit was filed to clear their good names which was resolved in 2008.

NOW TO THE ORIGINAL REPORT THAT WAS FILED

Ripoff - Fraudulent solicitation sell of unregistered stocks in Nov. 2000 with the understanding that the "private offering" would become very valuable when the company went public in the next few months of 2001. Numerous oral and misleading statements were made to induce the sale.

Told that the company was a no-risk proposition since a well-know actor (Chuck Norris) was backing Children of America Day Care Centers and advertising for a sure success. Informed I had to act quickly as the offer was available only to a few investors and they only had a few stocks left. I was told that I would be able to sell the initial stocks, recoup my original funds, operate on the gains and be without my initial funds for only a few months as this came out of my retirement fund since I am a senior citizen. I invested the minimal amount of 3000 shares at $5.00 a share plus a fee of $710.00.

9/11 happened and I was informed that Mr. Pryor would delay going public. Solicitor (Mr. Ricardo del Real) asked If I wanted out since the company was not performing as stated. I asked for refund. NO one would return my calls. Mr. Pryor finally communicated with me in February 2006 and stated he had other investors backing the company in July 2006 and he would buy back the stocks for the original investment with no interest or damage. cost.

Mr. Pryor stated he did not want any one having stocks in his company that was not comfortable with him. In July 2006, after numerous e-mails and telephone calls, I finally talked to Pryor. He promised to call back in a couple of days. He had his Chief Financial Officer (Joseph Letzelter) call. He stated their refusal to purchase the stocks back as Children of America, Inc's growth would require all of the cash resources for the next few years and they were in the process of arranging to sell Franchises now.

Since the purchase in 2000, Mr. Pryor has consolidated financial statements of all his companies: Tren Properties, L.C. with assets recorded at Child Care Corp's Historical cost. Now the financials for Children of America Inc. and Subsidiary. His corporations also consist of TJP Corp, Inc. EduSystems Corp., Child Care Corp, International Child Care Corp, Visitel Enterprises, Inc. and now a new Corporation filed under the name of International Childcare Franchise Group Inc. dated 08/29/2006 in order to sell franchises. He appears to have the ability to place assets and liabilities into other corps when necessary to show a company not profitable and definitely not beneficial to stockholders.

He has facilities in Delaware, Maryland, New Jersey, Virginia, Pennsylvania, Florida and currently exploiting corporate-owned centers in clusters between northern Virginia and New York.

Mr. Pryor has used proceeds collected from investors under fraudulent solicitations to benefit his self and related companies with no intentions of going public for stock holders to re-coup their monies.

FYI: These people are linked to Franklin Michelin (Now in prison) of L.H. Ross & Co. Boca Raton, FL. Pryor's partner in Children of America etc. is Paul Michelin (Franklin Michelin's Father). Thad J. Pryor, associates and companies should be investigated.

Thad Pryor, Jim Perretty and Associates are International Scam Artists. These people have swindled Europeans and Americans out of Millions and millions of Dollars. No one ever receives a dividend or return on their money invested. All stock certificates sold are restricted, "Regulation S" or Rule 144 of the SEC. Stock Certificates cannot be sold in the the US or to a US citizen under Regulation S and they make it very difficult for you to be able to get rid of them if you are a US Citizen under SEC Rule 144. Companies involved are as follows: Children of America, COA Development, Tren Properties, Visitel Enterprises, TJP Corporation, JC300 Corporation, Always Close By, Inc, ICCR, ICCMC, International Childcare Corporation, Childcare Corporation + More. All are Delaware and/or Florida Corporations. They have a corporation & sales force in Barcelona Spain but tell people they are in the Netherlands. Spain is one of the only countrys that does not regulate this type of behavior. Florida is the home of the Boiler Room. Spain is not far behind. All salespeople use alias's. DO NOT DO BUSINESS WITH THESE PEOPLE. Pryor uses proceeds collected from investors to benefit himself and his associates with no intention of ever going public. Homes, Cars, etc. have been purchased with these proceeds. Try to get your money out and see what happens. You will never see a dime!! These people MUST be stopped. Shareholder Meeting December 1, 2006

Liberty Transfer Company, 631-385-1619, for COA sent a proxy to sign for meeting. Understanding from proxy the following issues were being voted on.

To elect Thad Pryor as the sole director of the company. Against.

To confirm the Board of Directors' decision to increase the number of shares which the COA can issue pursuant to its Restricted Stock Plan by 1,500,000 shares, from 1,000,000 shares to 2,500,000 shares: Voted against so others would not be taken in.

To confirm the Restricted Stock Plan previously adopted by the Board of Directors for the Company's employees:

Re: Defamatory Statements Made Against Children of America, Inc.

To Whom It May Concern:

This is in response to the posting made by Carolyn of Grand Prairie, Texas, submitted on October 16, 2006. Carolyn is making statements against Children of America, Inc. (?COA?) which are libelous, and represent a misunderstanding of COA's interactions with her.

Carolyn purchased COA stock pursuant to a private placement memorandum (?PPM?) in 2000, and again in 2001. The PPM sets forth in detail the risks inherent in her investment, especially investing in companies that are not publicly traded. The PPM explicitly sets forth the risks of investing in COA, and the goals of COA. The PPM mentions nothing about the backing of Chuck Norris. In fact, Mr. Norris has nothing to do with COA, and COA has never represented to anyone that he was associated with COA in any manner. While the PPM does mention the possibility of a public offering at some point in the future, it does not suggest that COA would definitely go public at all, or that it would go public by any specific date. The only references to the company going public mentioned in the PPM state: ?[COA] shall be dependant on the following: . . . (iii) the availability of funds from public sources including, but not limited, an intended initial public offering of [COA]'s securities?, along with a warning to the investor stating that ?[a]lthough Management anticipates a public market for its shares in the future, there is no certainty with respect to if, and when, a public market will develop.?

The PPM also states that ?NO PERSON HAS BEEN AUTHORIZED TO MAKE ANY REPRESENTATION OR GIVE ANY INFORMATION WITH RESPECT TO THIS OFFERING WHICH IS INCONSISTENT WITH THE INFORMATION WHICH IS SET FORTH HEREIN.? Carolyn signed a subscription agreement, which states:

I further acknowledge that, except as set for in the Offering Document [the PPM], no representations or warranties have been made to me, or to my advisors by [COA], or by any person acting on behalf of [COA], with respect to the sale of the Shares . . . and/or as to the accuracy or completeness of the information contained in the Offering, written or oral, other than that contained in the Offering Document.

Evidently, Carolyn has since decided that she did in fact rely upon oral representations made by someone, presumably the ?solicitor?, Mr. Ricardo del Real, when investing in COA. It should be noted that neither Thad Pryor, nor anyone at COA, made any representations to Carolyn with respect to COA going public or the backing of Chuck Norris, nor was anyone authorized to make any such representations. Mr. Pryor was not involved in the solicitation of any COA investor, and made no representations regarding COA to Carolyn.

Referring to the fact that Mr. Pryor runs multiple corporations, Carolyn also makes the allegation that Mr. Pryor ?has the ability to place assets and liabilities into other corps when necessary to show a company not profitable and definitely not beneficial to stockholders.? That fact is that certain of these other corporations directly or indirectly have an interest in COA and have helped finance COA over the years since Carolyn purchased COA stock. While COA operated two childcare centers in Virginia at the time Carolyn purchased the stock, it now operates 11, and has leases to open 24 additional childcare centers which will be located in Virginia, Pennsylvania, Maryland, Delaware, and New Jersey. The companies that Carolyn seems to allege are part of some type of scam are actually what have financed the expansion of COA, which management believes has helped increase the value of COA. It is clear that Carolyn does not understand the nature of the relationships between these companies.

We regret that Carolyn has had second thoughts about the ownership of the COA stock she purchased in 2000 and 2001. However, this is no excuse for her irresponsible and baseless claims. The PMM provided to Carolyn before she purchased the stock contained full disclosure about any potential risks involved in a potential investment. Carolyn's allegations that COA has engaged in any action that constitutes fraud should be given no credence.

Received a letter today from Mr. Pryor's attorney in New York - the firm of Mintz & Fraade, P.C.- Mr. Alan P. Fraade stating that if I fail to immediately cease and desist making defamatory statements against CHILDREN OF AMERICA,INC its AFFILIATES or SUBSIDIARIES, then they would commence legal action to require me to cease and desist making such statements against COA, and recover all damages which it has suffered.

What I have stated is true. Investigation of records and movement of companies, centers and assets to keep from fulfilling obligations to stock holders is apparent. As I have stated, they have taken the investors money and not fullfill the obligations as represented upon sale.
