RE: Independent Contract Agreement executed Nov. 6th, 2006 between VitalCare Technologies, Inc (Agent) and Sirqa ISO of IPAYMENT/CHASE Bank for Merchant Credit Card Processing Services

Mr. Mike Briscoe,

This Email serves you and the entire Board of Directors of Sirqa, LLC that effective this 28th Day of January, 2007, VitalCare Technologies, Inc., its officers, directors, employees, agents, independent contractors, business associates and affiliates do hereby terminate its Independent Contract Agreement by and between Sirqa for the following breaches of conduct by Sirqa accordingly:

Breach of Conduct by Sirqa for the following Contractual Provisions:

3.2 Failure of Sirqa to provide Agent with its agreed upon support services including accurate and timely reporting of all activities and contacts made for all referrals of Agent's accounts, which were identified and reported by Agent to Sirqa;

3.3 Failure of Sirqa to forward commissions due and payable by Sirqa to VitalCare Technologies, Inc, (Agent), from those commissions earned from ProWealth Solutions active accounts that were brought as a result of the efforts by agents and directors of VitalCare Technologies, Inc. who were responsible for bringing ProWealth Solutions to Sirqa;

10.1 Failure of Sirqa to Cooperate with VCTI's (Agent) employees, directors and associates, in a timely and reasonable and professional manner with regard to all reporting, updates on all referrals accounts provided by Agent for the direct benefit of Sirqa, and failure of Sirqa to maintain adequate communication during the past 45 days on all of Agent's accounts.

This notification effectively terminates any and all activities, communications, contracts and obligations by and between VCTI (Independent Contractor Agent) and Sirqa, effective upon submission of this Email as identified by the date and time of this notification.

I stand with Mike's notification on behalf of VCTI with regard to Mr. Briscoe's poor performance as an ISO of IPAYMENT/CHASE Bank under a mutual agreement to provide proper reporting of over 500 leads that were submitted by agents of VCTI and ProWealth Solutions for identifying potential End Users of Merchant Account Services. Mr. Briscoe promised in Email and Telephone communications on multiple occassions to submit a comprehensive report for each lead including name, business name, date and time of initial contact, and whether the lead was qualified for a merchant account and what was their status for setting up merchant processing. Multiple attempts to reason with Mr. Briscoe resulted in Mr. Briscoe refusing to honor his agreement and cease from all contact with VCTI as well as failure of Mr. Briscoe to honor his contractual obligation to pay commissions for those merchants who finally qualified and were setup on the IPAYMENT/CHASE Bank Merchant program through VCTI on behalf of ProWealth Solutions.
