HERE IS OUR LETTER TERMINATING OUR RELATIONSHIP WITH THE LIAR RAJ B. LONSANE AND HIS FRAUDULENT COMPANY MINDWARE SOFTWARE SOLUTIONS ALONG WITH ITS PHONY BROKEN DOWN PRODUCTS THE DYNASHOPPE AND WWW.DYNASHOPPE-ECOMMERCE.COM --------- September 13, 2006 Raj B. Lonsane ? Software Development Hub Udyog Vihar - Phase 5 Gurgaon, Haryana 122002 Re: All prior so called guarantees are hereby rescinded Dear Raj: This letter serves as notice that as of this date any and all prior letters or correspondence making guarantees' for sales production goals are hereby rescinded due to the failure of Mindware to produce a product that is acceptable to all clients without excuses. We have worked without remuneration and with zero marketing support of any kind for too long. The product is not complete to the client's satisfaction until the client says so. No amount of saber rattling, dreams and broken promises or delays is going to change that. Mindware has had problems day after day and for nearly one year we has not been properly paid for its actual completed and paid sales. Furthermore I have personally ruined my family and personal life dedicating it to the well being of Mindware. I have suffered untold misery on account of this with false promises and now we are told that Mindware will seek to give marketing of the product to others' that will at best do it with their left hand' as it were. Be advised that our clients are still not completely happy and further: 1. Bill needs to have a site that is completely debugged a. You told me yesterday evening here that the product cannot be totally whole due to the company's inability to pay its own expenses 2. ******** is not a partner in any true sense of the word so our sacrifices are for nothing 3. Adam was promised free work which is still not completed a. Adam has not shown confidence in Mindware and Us due to constant delays and broken promises 4. Canal ***** product upload dragged on for three months 5. Sharon of ********* has issues with ridiculous credit card refunds that were not authorized or even required a. The system does what it wants at times and this is totally unacceptable 6. Despite dozens of broken promises from Mindware about proper SEO for the DynaShoppe as well as zero marketing support we have continued to give you 110% of effort and dedication without any limits a. The DS site has been broken with no virtual advisor working for over three months! 7. People coming to a site where things don't work are not interested in discussing the matter further 8. You have seen enough emails and heard enough doubts and complaints from prospective clients to know that all that is stated in this communication is 100% true! You made remarks some time ago to Sharon that it was not the technology but her computer that was causing her site to be slow. After dozens of complaints from prospective clients turning us down on account of speed issues Mindware finally decided to look and rewrite the code. So Mindware has been disingenuous all along blaming its own inability to produce a golden product on us and our clients! There was an election years back here in the States and the motto of it when ousting the President for a newcomer was: IT'S THE ECONOMY STUPID! That was Bill Clinton's war cry and it worked. Well, Mindware needs to know (pardon the expression) ? IT'S THE PRODUCT STUPID. This has nothing to do with Richard Akerman or any other person, place or thing! It has to do with intelligent prospective clients seeing a half-baked product and turning it down. It has to do with nobody being able to find us on Google by typing shopping cart, ecommerce, or any other normal term! You need to let us know when this product will be real and when Mindware can keep to the promises and guarantees it has so far been unable or unwilling to keep to. So consider this letter notice that any and all prior guarantees' are hereby rescinded as null an void. Until Mindware can get its act together, the 30,000 or so visitors we got to the site with a press release would NEVER BUY A THING as was the case. People are not stupid and they see what they see, of fail to see what is not evident THAT IS WHY 30,000 people in two days came to the press release and NOBODY BOUGHT A THING! Now we have Mr. Bill Dumont who was promised a site in no time and who is willing to give us free marketing assistance allowing us to reach out to 700 of the largest Yahoo! Stores in the world FREE! And we will lose his confidence as we have so many others before. That speaks volumes and with these facts I end this letter by telling you that coloring the truth is not the way to go. So consider this notice that unless Mindware gets it together, no amount of screaming, yelling or any other form of intimidation or insult will make a difference to the well being or stature in the eCommerce community of the DynaShoppe. Google's motto is "Don't be evil" and Mindware would do well to engrave that on its walls at the new offices another expense that was not agreed to by our side and has been the cause of much pain and tribulation. It would have been best to amass a team that works from home instead of renting floors of space and giving away cars to workers prematurely. Until the client says the product is golden NOTHING MATTERS and nothing you or I say will change that! In addition to all of the above the practice of making promises for free work to clients has also backfired, it has brought the company to its knees and caused us to lose time and income to the point where we have not been paid moneys due since last December! We argued vehemently about the wrongful practice that caused losses with the Precious ******** account and virtually every other client we sold and that was your doing we always said work must be paid for we are not a charity but a for profit business so when you say we have never met payroll you need to acknowledge your responsibility in this. We would like to know what the future holds now that the years of free work are going to be set aside due to the whims of people who know very little about the workings of our industry, our company and our product. What guarantees are we going to see from Mindware? Of course your personal time and effort with so many sales calls cannot go unnoticed and that is the only saving grace for this so far crippled project. Thank you for that. Without Mindware standing by its past warranties and representations the playing field is going to change. We have worked alone and with zero support in the area of proper product documentation, databases, or any other normal and customary forms of sales support system ? we do not have even an HTML email to send unless we create it. So at the end of the day any and all materials, agreements, proposals as well as any other infrastructure were created single handedly by Richard Akerman with zero assistance from Mindware. Now we are to be cast aside as if the product were golden and we inept!? Whatever level of proficiency the DynaShoppe has reached could NEVER have happened without the unending support and personal sacrifice, not to mention business contacts and clients we brought to the table. So if our firm is going to be brushed aside due to politics and half-truths told to the investors we predict failure. Our company has been 100% honest with its clientele and with Mindware and we believe anything other than concentrating on making the product such that the clients and prospects themselves call it golden is a waste of time and will result in more delays and failure. Abraham Lincoln (16th President of the United States) said: You can fool some of the people all of the time, and all of the people some of the time, but you can not fool all of the people all of the time.
