Carl Moose set up a fictitious LLC ("Caribbean Alternative Energy", or "CAE", aka "Caribbean Wind Energy") as a Joint Venture to lure investors into buying shares of of this company.  

1. In reality, the company was never filed with the State of Illinois and does not exist.  A search of http://www.ilsos.gov/corporatellc/shows no Illinois business entity having the name Caribbean Alternative Energy. The Articles of Organization are not stamped by the Illinois Secretary of State. It appears Carl never officially formed Caribbean Alternative Energy, LLC".

2. After my initial funding deposit was made, it became clear that Mr Moose did not use the funds as stated. 

3. CAE Letter Of Intent documents state that Mr Moose had invested $100,000 of his own money into CAE as principal.  This is not the case.

4. Mr Moose also stated that he had a "Angel investor" invested for $100,000. 
   In reality, there were NO other investors.

5. CAE LOI documents state that CAE shall pay 10% annualized interest, payable monthly.  
No dividends were ever paid.

6. Mr Moose agreed and signed a "Dissolution Agreement" in January 2012, agreeing to return  my investment, using his own personal funds if necessary.  He has not done so.

My attorney has determined that the foregoing appears to be misrepresentations of existing, material fact, and may constitute Illinois securities and consumer fraud.

Mr. Moose has since "dropped off the radar screen", not responding to calls or emails.

The fact of the matter is this:

1. This was a start up company and this investor put less that $ 7,500 of the $ 15,000 promised in as the first investor;

2. The company was going to be capitalized by contract acquisition, which never materialized;

3. This investor sought to invest, and was told that he was first investor and only investor, at that time;

4. The investment was from a qualified 401K Self-Directed Account;

5. The deal was a 36 mnonth pay-out, with interest (if available) paid quarterly;

6. The investor was poorly advised by his tax professional, and "needed" the investment to be returned to avoid any penalties in his self-directed account;

7. The company and the investor came to an agreement to return the capital, once available.

At no time was fraud perpetrated, nor was there any intention to set up a false company or avoid this investor. I have had the same address, email, cell #, and location for 8+ years......If I was scamming people I would have done it for alot more than $ 6,250, and I would have been long gone by now.

Fact is the investor is pissed because he was mistreated by his tax professional, and "needed" his money back pre-maturely.....The investment did not pan out the way he thought it would.

This report is not completely true, and is an isolated event.

This investor did capitalize the seed of this company, which was organized to do business in the Caribbean Islands.

This investor contacted me with an interest in being part of my organization, and was going to be the first investor to get the company going.

This investor did their due diligence over several weeks, and invested the funds, which were originally going to be $ 15,000, out of their self directed 401K. The total investment by the investor was far short of the $ 15,000, and only amounted to $ 6,250.

The investor's accountant / trustee did not properly distribute the 401K funds, which upset the investor due to penalties and fees associated with his advisors mistake, which had nothing to do with the investment.

The terms of the investment were min of 3 years, and the investor complained and wanted his $ 6,250 back in less than 6 months, which was not the original deal.

There was no scam, or intent to de-fraud the investor, and we Actually came up with an agreed upon re-payment schedule in Feb of 2012.

I will have more details later to substantiate my position, and encourage any and all interested parties to pick up the phone and call me to get the facts around this frivolous and inaccurate rip-off report.
