First off, after reviewing my own contract from Big Noise Now, he asks for a just over a 1/3 of the money up front to get started, it also states that the contract can be terminated at anytime by either party (there is your out clause).
Also if your best song has a clip from another song that you don't have the rights to, then they're right, you can't use if for anything unless you want a huge lawsuit on your hands. Also you can request a list of the industry professionals that your music is being shopped to, I did, and they were happy to provide it to me.
And as far as them requesting new mixes, you may have a good song, but a shitty mix. It's not that uncommon. Also, Independent A&R people don't work off of percentage based commission, They can't guarantee that you'll a record contract, because they don't own or work directly for a record company. So if there is no guarantee of income, then why would they work for you? Because they really Believe in your music? Get Real. Just because they like it doesn't mean anybody else will, in a world based in reality, most people would understand that.
