      I tried to lease a space from Rick Sullivan / Ashton Morris Investments, however it would have been a big mistake. The deal seemed to good to be true but I proceeded in good faith. He promised me one thing after another and it seemed great. Not long after, I signed a letter of intent and gave a security deposit. We then worked on drawings and a lease agreement. The lease agreement was drawn up by his lawyer and reviewed and edited by mine. During the time that the lease was being drawn up and my deposit was already given, he was making all kinds of changes to what we had verbally agreed upon to the space. At this point I went along trying to work with Rick.

     After coming up with a lease agreement that we both agreed upon, I was rushed to the bank to get it notorized. Upon getting to the bank and signing my part of the lease I noticed that the lease had been changed. I immediately stopped and proceeded to look at the lease, and found that it was a copy of the original lease before the lawyers edited it. This was very deceitful to try to get me to sign a lease that we had not agreed upon.

    We talked at the bank for a bit about the lease and to my surprise he was then wanting to re-negotiate the lease. He asked for $10,000 upfront and tried several other methods to get me to agree to his terms. At this point I went on my way as I didn't feel comfortable entering into a lease with him.

    The next day I requested my deposit back and he refused. I later had to Sue Ashton Morris investments LLC / Rick Sullivan to get my money back. I did prevail in court but it was not something I would recommend going through. Please beware if you ever decide to enter into a lease with this company or individual.

This situation that occured with Eric Medecke, owner of PC Works in Hamilton, Ohio, is as follows:

Eric was wanting to lease space for his PC Works business.  We came to an agreement and signed a Letter of Intent spelling out the details that would be drawn up into a legal lease document.  This Letter of Intend included a "personal guarantee".  We both signed this document and I accepted a deposit.   He wanted to move in quickly, so after signing the Letter of Intent and collecting his deposit,  I began having architectural drawings produced before the contract was drawn up and signed.  Which turned out to be a mistake.  

After having the lease drafted, Eric requested a Word document copy.  I usually send out PDF's, but I did go ahead and send him the requested Word copy.  He emailed me a list of a few changes he would like to see in the document which I incorporated into my original draft and sent him a final copy for review the morning of the scheduled signing.  

We then met at the bank to sign the document.  Eric brought a modified copy of the lease in which he and his attorney had redacted the personal guarantee.  This was not one of the changes that he alerted me about in his email about the changes to the original draft.  Therefore, the copy of the updated lease that I arrived to the bank with, and that I had emailed to Eric earlier in the day, was different than the copy he produced.  

Since I was going to be spending in excess of $20,000.00 on build out for his companies space, and he was going to be spending no money up front,  I needed to have the guarantee so he did not just walk away for the lease.  He refused.  I then offered to move forward withouth the guarantee if he would pay for half of the build out costs, that way we would both have "skin in the game".  He refused this also.  I believe he just got cold feet and decided against getting into a long term commitment.  

Since I had already spent over $3500 on architectural drawings and other costs to renovate his space, I did keep his $1800 deposit for payment of his half of that work.  This only seemed fair to me, since he is the one who went back on his word, not me.  

I thought PC Works would have been a great tenant, it just did not work out.   If anyone out there is considering leasing space from me, please feel free to contact any current tenant as to how they have been treated.  They will verify that I am a very honest, fair landlord who is true to my word.  I can also give referenences from past tenants who will verify they were treated fairly.  I have owned a local grocery/deli in my neighborhood for over 26 years, and you do not keep a neighborhood business running that long if your dishonest.  Prospective tenants are also welcome to contact my landlord of 26 years to get a true picture of the honest business man that I am.  

I learned from this that sometimes it is better to slow things down and try to avoid these misunderstandings.
