Complaint Review: Excellence Health Invenire Patent Group - Las Vegas Nevada

In March of 2017, I came up with an invention for a Real Estate App. I looked for a company that would help me to find an Investor to invest the money for me to build the app and start my company. I searched for a week until I came across Invenire Patent Group. I signed an NDA with them and they were the first to get back with me.

When I spoke with them, I was happy that one of the owners, who were also a Lawyer on the phone with me (Joel Smolibowski). They were very professional and knowledgeable, they answered all of my questions correctly, and for some reason, we clicked. Within 2 days I got a call from Luca and Joel stating that they have a Family Office that was interested in my app. Luca also stated that his Families Family Office was also interested.

So after some negotiating with my team, we came up with a deal and a term sheet was signed, with an expected closing within 2 months. During this time, I was made to believe that the family offices were doing their due diligence. We also paid for a patent search for the US and overseas.

The whole time I didn't have any reason to doubt Luca, nor Joel. Joel was the attorney for the company, and he just reassured me that it was standard for what we were going through. We had to form a company, and then after we had closed, the investors were bringing in a new CEO, President and maybe 4 board members. Which I agreed to. I was even told by Luca that the investors had purchased an office building because they wanted me and my startup team to move to Las Vegas to start the company. 

Then one day I got a text from Luca's girlfriend or wife, (Megan) telling me that Luca was not a businessman, and he was living with his grandmother. She told me not to trust Luca, nor Joel because they are Fraud's and they will take my money. I couldn't believe it. I was on the phone with Luca at the time, and I told him what was being said. He seemed to be more horrified than I was, and he told me not to say anything to Joel. He explained her away by saying that she was bipolar, but he really loved her, and she was upset about a car she was waiting on to be delivered to her.

Of course, I wish I would have listened, but everything looked legitimate and we were scheduled to close soon and we did have what I thought was a patent report with an evaluation. About a week before the first closing I got a call from Luca and Joel telling me that the closing had happened, but a big US company wanted to buy the IP of my software. I was not happy because I didn't understand.

How could we have closed anything and I hadn't signed any closing documents. And now they are telling me this. I got into a big argument with Luca, and I said I didn't want to sell my company, I wanted to build my company from the ground up. So after a few days of calming me down, and coming to an agreement of which I was OK with. We had to wait again, with no money from the first deal because from what I was told that the investors would still get their percentage, along with Invenire's percentage. 

This is where the $55 Million come in at. That was to be the down payment, that I was to receive, minus the percentage of the Investors and Invenire, which would have left me with $8.25 Million.

1. I don't believe I had a closing with any investors. I believe it was Excellence Health, trying to do some type of switch.

2. The $55 Million check was made out to Me and my company, but I was told that my bank wouldn't accept a check that large for my company.

3. So I was told that Invenire would get the monies, and cut me a check and wire it to my bank. It was supposedly sent on Sept. 6, 2017.

(STILL NO CHECK)

4. Joel has sent me messages on Skype telling me that he was sorry, that it looked like we trusted the wrong person. It seems that he and Luca had a falling out, and he has gotten the FBI, and Wells Fargo involved because he stated to me that Luca had taken money from him. And Luca told me that Joel was saying that, but he doesn't owe Joel anything, the company Excellence Health does.

5. Luca has gone so far as to have me and my partner to meet the attorney at my bank with the check. He was a no-show, Luca is still calling me telling me that he is on his way to bring me the check. The last contact was 10/30/2017.
