TransHorizon Energy, Inc. was formed by the principals listed; Christopher Paton-Gay, Christopher Tate and Michael Lansing as a result of Mr. Tate's contact with our firm regarding a Wyoming Oil and Gas project we were brokering. Together, these men and this company negotiated to acquire the project from the seller we represented and pay the purchase price of the project and our brokerage fee directly to the respective parties.

 

For several months, TransHorizon contacted the principals within our firm to arrange the negotiations, LOIs, trip visits, meetings and other efforts vital to the acquisition, all indicating that they were prepared to pay the agreed upon amounts to both our firm and the selling party. 

 

Ultimately, they fraudulently misrepresented their intentions and then refused to pay in accordance with the contract we had in place with the Seller. During the week TransHorizon had indicated they were in the appropriate state and meeting to close the acquisition (and ultimately pay both parties) they met with their attorney, the sellers and their attorney and all agreed to attempt to force our firm into a "compromise". 



When our firm was hesitant to do so, TransHorizon's attorney (and principal within the company) sent a threatening e-mail to the principal broker within our firm stating that if we did not compromise, it was tortuous interference with a contract. This was a complete false allegation, our attorneys dictated he had no grounds for this threat and their meeting to deny the appropriate payment to our firm was a civil conspiracy.

 

Chrisopher Paton-Gay and Christopher Tate, continued to pursue this acquisition and all parties severed the relationship with our firm. All parties are severely liable for fraud and civil conspiracy and cheated our firm out of $189,000.00 after 9 months of work with them.

 

Do not do any kind of business, including Joint-Ventures, partnerships, acquisitions, sales or otherwise with any of the parties to this deal, including the seller, Thorofare Resources, as they refused to pay out of pocket for the contract terms they signed. You will be cheated and undermined to the point of illegality. 

 

None of the parties keep their word or operate in good faith. They're quick to breach their fiduciary duties and otherwise to make sure they're the only ones that profit.

‘This statement is a rebuttal to the allegations distributed by Mr Logan Wheat of Red Rock Holdings LLC and posted on RipOffReport.   The Company has never been contacted by RipOffReport nor are we aware of any efforts by the Website to check any of the facts/allegations in this matter.

 

The FACTS in question are as follows:

 

  • TransHorizon is a substantial Energy Company with it’s Head Offices in Wyoming. Mr. Tate and Mr. Paton-Gay are Senior Officers of TransHorizon Energy. Michael Lansing is not a Shareholder, employee, Officer or Director of the Corporation. Mr. Lansing is the Company’s Lead Attorney.

  • Background History:  Chris Tate of TransHorizon was contacted by Logan Wheat purportedly acting as a broker for certain Wyoming oil and gas properties which he indicated were offered for sale by Thorofare Resources.  His initial contact was made in late 2013.

  • As the potential buyer, neither TransHorizon nor it’s principals have ever entered into a contract or agreement (oral or written) of any sort with Logan Wheat or Red Rock Resources regarding commissions or fees of any nature.

  • The negotiation process between TransHorizon and the Seller (Thorofare Resources) did in fact take several months.

  • A final purchase and sale agreement was entered into on the Properties and the sale was successfully negotiated between the Buyer-Transhorizon and the Seller-Thorofare Resources. TransHorizon had no contact with Logan Wheat or Red Rock Resources during this process.  The Sales Agreement called for Thorofare to be responsible for any and all broker fees.

  • Logan Wheat posted this material on this web site on Thursday 26 June 2014.

  • TransHorizon understands that a fee Settlement between the Seller and Logan Wheat and Red Rock which was negotiated and accepted by Logan Wheat et al in full payment of any and all claims by he and / or any other Party.  

  • TransHorizon had no standing in this dispute as TransHorizon has never been a party to any agreements or contracts with Logan Wheat, his Uncle or Red Rock Resources.

  • The subject transaction closed on July 15, 2014 which included a $50,000 full commission payment paid directly by the Seller to Logan Wheat et al as had been agreed and was accepted by Logan Wheat.

  • This matter never had anything to do with TransHorizon and this posting was apparently made by Logan Wheat to press his negotiations with the Seller.  This young man was ill advised in making such a posting.

     

    For any potential business entity reading the original entry by Logan Wheat – and this rebuttal – please be assured that this in no way is factual or representative of the business practices of TransHorizon or it’s Officers and Directors.  TransHorizon is in the process of instructing it’s Attorneys to demand a retraction of this damaging and specious posting by Logan Wheat.  His failure to do so will likely result in a significant claim for damages both specified and unspecified by TransHorizon Energy, LLC.
