Was approached by Jess Davis to invest in their company. On the surface everything seemed legitimate. Was told money was to be paid to the company’s lawyers for issuance of shares and warrants convertible for more shares at a later date. Money was then paid directly to Davis, at his request, stating that it was going to be pooled with other moneys to pay the law firm. Davis made several references to a former NFL player as being on the board and an investor. At that point, the player was on their website as a board member. Now their website shows nothing of their executive team, merely renderings of projects that do not exist. Have asked repeatedly for financials, and documentation only to be told it is coming at a later date. The former NFL player has a stellar reputation, and likely is too busy to even know what is going on.

I will not disclose his name, as his reputation should not be tarnished by disclosure. Uberstate moved out of its rented offices into a building they supposedly bought. There is no record of purchase of that property in Manitoba Land Titles. Red Flag #1. It was supposed to be their first investment as touted on social media. Development into a co-working space. So far, empty and locked! Visiting the offices on several occasions seems like there is no real business going on. Businesses keep office hours. The doors are locked and there is no one there. Davis refuses to answer emails and phone calls, and now has launched a new website looking for investors, and people to join his "team”. Heads up. There is no team! Nor is there any properties that they own. Self admittedly, I did what due diligence I could, but the marquee of a NFL player legitimized everything. I was told I would meet him, and then something came up??? Sounds like someone doesn’t want people comparing notes!

Bottom line is before you invest a penny into this company or its crypto, do your due diligence. Since it is crypto-currency, may not be easy to do. This man values no opinion but his own, pits his investors and staff against each other. If that doesn’t draw a red flag, what does? Never trust an executive who carries around a "Pokémon” backpack. Too bad that wasn’t visible at the start.

 I wish to recant my comments above with regard to Überstate, Mr. Davis and Mr. Richards. At times people are at odds in a working relationship. My commentary was written at a very frustrating time, and was in poor judgement.

We have settled our differences in a gentlemanly fashion. My previous comments should not reflect negatively on Überstate, their team or executive team.

 Eugene, based on this information being completely unrelated and untrue we will be filling a defamation law suit against you for further trying to disrupt our business. The company had proof of this interaction on paper and what you have broadcast has nothing to do with reality. Great ammunition for us so thank you for that. Everyone on the team is aware of your lies and sporadic behavior and you should be ashamed of yourself for posting this garbage.
