This posting should help unsuspecting "future business owners" avoid being preyed upon by Manfred Spindel (MCN President) and his con artist staff of marketing directors. Note that Manfred Spindel was formerly President of Allied Systems Industries. ASI "developed" both dollar stores and home decor stores.

Appx(2) years ago, I contracted with Allied Systems Industries (now defunct) and reopened as MCN Dollar Store Developers in a new location. The contract(s) were for (2) discount home decor stores to be built in the Dallas, TX area. Each store required an advance $15K deposit with the full balance on each store to be paid in full PRIOR to build out. Even the initial deposits required a CASHIERS CHECK (red flag!).

After months of holding my deposits the company finally built out (1) store and sent merchandise that was never able to be sold in the store due to poor quality and high cost. Before my 2nd contracted store was to be built, both Manfred Spindel and his company, ASI, vanished, without warning WITH MY 15K! The phones, website and all traces of Manfred Spindel vanished.

I can provide all the supporting legal documents to back up my comments. My lawyer is now pursuing this legal matter. Finally we have located Manfred Spindel.

Note the information below (provided by a very reputable dollar store builder).I am now strongly considering opening a dollar store with a reputable developer.

the comments made to you by representati v es of MCN about our company.  I
would welcome the opportunity to review whatev er material they may have
provided to you in support of these comments, so that I may respond
appropriately.  In discussing our business with any prospective owners,
I always prefer to focus on the value and services that we can provide,
as opposed to seeking to discredit a competitor.  However, in this
instance, I feel compelled to share the attached information with you.

You will see by the Nevada Secretary of States filing for MCN that they
filed the articles of incorporation for their business in February of
2009, not reflective of the 18 year track record they indicated to you.
You will note that their president is one Manfred Spindel.

Next, there is a Secretary of State record for a company named Allied
Systems, whose status shows as "Permanently Revoked" in September of
2008.  This was a company whose president was Manfred Spindel.  Allied
was a developer of dollar stores that closed their doors without notice
to their suppliers or clients in early 2009.  Some months later, they
re-appeared doing the same business from a new location as MCN.

I have also included a Reliability report from the BBB which was printed
on 11/16/09.  You will see that it indicates that MCN started business
in May, 2009.  You will also note that they had, at that time, a rating
of "NR".  The BBB's website will explain that such a rating will result
if:

The business is being reviewed or information updated
If there is not sufficient information (history) regarding the business
Or, if there is recent activity requiring further review

At that time, I contacted the BBB regarding the reason for this rating;
they indicated that the business was "too new" to rate.  Again, not
reflective of their "18 year history ".  They have since, of course
upgraded that rating.

We have been in the dollar store development business since 1995, doing
business as $1.00 Store Services.  In 2006, we changed our company name
to Dollar Store Services, as this name was more indicative of our move
into the development dollar plus stores, as well as dollar only stores.

After we speak on Monday, I will be happy to provide to you some store
owners for whom we have recently developed stores, so that they may
share their experiences with you.

Allied Systems continuously contacted Mr. A. J. Alyatim to find out if he was ready to have us build-out his second store. He repeatedly told us that he was not ready, and that he would let us know when to get started. Because the banking crisis prevented Allied from acquiring financing to build-out future store owners, Allied, like thousands of other small businesses at that time, ran out of existing capital, and was forced to close its doors on 2/11/09. Up to that point, Mr. A. J. Alyatim had never called us to build-out his store.

 

           Had Mr. A. J. Alyatim acted in a timely manner, his store would have been built-out by Allied.

 

           After closing our doors, my partner and I decided to go our own ways. I decided at that time to open MCN on my own, on 3/1/09.

 

           As far as Dollar Store Services goes, it is not, and has never been a part of Allied or MCN.

 

           I stand ready to build-out Mr. A. J. Alyatims second store, at any time in the future for him. I will also credit Mr. A. J. Alyatim $15,000.00 down payment to any store package that he selects at that time.
