The Nevada Corporate Headquarters has been the source for Nevada corporations, Nevada LLCs, asset protection strategies, business credit establishment and many other business/financial services. It also provides incorporation services, access to websites, and small business credit building.

According to Jessica Loggins, a representative of the company, all leads are generated online. Nevada Corporate Headquarters doesn’t do “cold calling” of any kind. Potential clients will indicate interest by responding to advertising or internet marketing. Nevada Corporate Headquarters will only contact someone if they have expressed an interest in and a desire to be contacted. After expressing interest in Nevada Corporate Headquarters products/services, either by calling the company or being called, Nevada Corporates staff will explain the company’s products and services and answer any and all questions that the person may have.



Nevada Corporate Headquarters then will have a corporate consultant speak with the customer. During this conversation the client will be assigned a customer service representative to walk the client through the rest of the process and verify all information, including invoicing. According to Ms. Loggins this is an important part of the process for the customer to ensure the client knows exactly what services are being provided. The staff will provide customers with information about the current pricing for incorporating business or looking for asset protection strategies.

Commonly, miscommunication is one of the major complaints Nevada Corporate Headquarters receives. In this instance the client would call in and leave a voicemail and never get a follow up call. Due to it being in a que where there was no one particularly assigned to a certain message the calls weren’t properly followed up on. In response Nevada Corporate Headquarters’ staff started a voicemail system that is routed through one individual, and then passed messages to the particular employee it pertains to. The customers were completely satisfied with the resolution, according to Ms. Loggins. Ms. Loggins also noted that since the installment of the customer service protocol there have been no such complaints since. After an issue is resolved, Nevada Corporate Headquarters has a “follow system” in place that ensures the customer is contacted after the issue is resolved to ensure they are satisfied with the resolution.

Ms. Loggins wanted to relay the information that before a customer agrees to do business with the company the client in informed about what exactly their money down is going towards. What is a Deceptive Trade Practice conducted by Justice Girma, Nevada corporate Headquarters rep and the types of business practices that Justice Girma conducted are considered an actionable deceptive trade. Justice Girma gave False statements and sold me a service that his company does not have and he also had me pay for this service and then Justice Girma engaged in misrepresentation by calling me and telling me that the cost of the service that they don't have (which I discovered later after I found out the bait and switch was made) was $2200 more and I told him I did not have the moeny and he unbenost to me--charged my cards for a service I did not want nor ordered thus fraudulent conduct was made by the seller--Nv Corp Hdqtrs and defrauded me by the advertisment of goods or services that the company does not have nor do they sell the service "I bought."

I est a non-profit corp and paid $1600--3 days later they wanted $2200 more and I cancelled the order--yet the company refused to tell me that my money was non refundable adn said that a receipt for sevices I bought was sent to me--and it was under the auspices of Justice's personal email with an attachment which stated "thank-you-a person note from me--".I didn't open this attachment and later discovered this was actually a "receipt" for a basic corporation establishment.

I am contacting every state agency and I will get my money back--I also contacted the FBI and local new station, radio broadcasts, and newspapers and will see that this business is out of business.

Nevada Corporate Headquarters did the following fraudulent actions:
Failure to deliver goods or services within a reasonable time or to make a refund for the goods and services if refunds are allowed
Failure to disclose a material fact concerning goods or services
Failure to obtain all required state, county or city licenses before conducting business

Nevada Corporate Headquarters attempted to solicit my business via random cold calls for many months. The company, via the cold calling method, made first contact with me, Elaine Bazemore via my home phone. The only reasonable explanation why they had my name and number is because 2 years ago, I paid my accountant, owner of Tax Planners, Inc, Las Vegas, NV, $780.00 to establish a corporation under the name of Joe Brown Publishing for the purpose of desktop publishing.

The corporation never became solvent due to miscommunication between my accountant and my role in executing official documents to legally establish the corporation. Once I brought the matter to my accountants attention, he stated that it would be cheaper for me to leave the corporation inactive and to start from the beginning with a new name.
(Note: I had paid my account to establish the corporation, ensure all fees were paid, and that all documents were filed. However, I failed to follow-up on his services and the money returned to me).

I decided not to pursue establishing another corporation at the time because of health issues. I have had three cervical spine surgeries since Dec 2002. My third surgery was performed this year, January 29, 2009.

Over the years, I've researched establishing a non-profit organization because I had donated several thousands of dollars to needy individuals and families that desperately needed just the basic furniture to place in their empty apartment or cash money to sustain food and shelter until they could become dependant and responsible for themselves.

Throughout the years, traveling to all corners of the globe via my career in the United States Air Force, I would meet people from all walks of life and would on most occasions, thank my Creator for my extremely fortunate lifeI have never been in need of anything after I joined the military.

As I progressed through life and my careerthe Air Force highly encouraged its members to donate in whatever way possible, energy, effort, money, needed skills, or something as easy as attending group functions at nursing homes and senior centers with a local charitable organization to just sit and visit with the residents.

After a few visits and many heartfelt stories from these incredible people, I began a little crusade by accident when I met a man that had lived his life on this planet in the most horrible circumstances imaginable.

I met Mr. Winston in 1982. Born in 1915, he had survived a horrible head-on tractor-trailer collision with another tractor-trailer when he was in his 40s. The broke every bone in his body, crushed his forehead/skull in and partially pulled the skin from his face. It took 5 rescue teams to cut him out of his truckand as for the man in the other truck who caused the accident? Well he got off easy with a broken collar bone and a DUI.
broken in a horrible traffic accidentand left for dead until he refused to diebarely survived on the paltry $450.00 social security benefits he received on a monthly basis. Just to make ends meet, he would go to the river day in and day out to either attempt to catch fish to feed himself so as not to go hungry or to catch so many fish that he could sell them at the local farmer's market in his town so as to put a little extra money in his pocket. And an amazing fact about this gentlemen was that when he did have extra moneyhe would actually donate part of it to the nursing home.

I helped him finance a loan to buy a new truck to replace his 1962 Chevrolet pick-up truck that he had from the first day it was put in the showroom. through 1997, I donated a minimum of $500.00 a month to individuals who where so physically disabled and/or in such extreme poverty that I could not turn from the situation and do nothing.


Maybe it was the woman who, as a child, was molested by her father for over a decade with her mother and sister day-in and day-out, pretending nothing of such a vile nature was going on in their housewith the base human selfishness that shielded their emotional psyche by refusing to acknowledge the incest via monkey don't see, monkey don't know.

Only until he impregnated her at the age of 17 did he stop. Filled with so much hatred for what her father did to her over all those years, anger at her mother and sister for not protecting hershe attempted to kill the baby born from incest and then commit suicide.

Luckily the baby was taken from her before she could harm the innocent child. The ipediphile father raised his own daughter's child as her father and the young woman left and refused to admit the baby was her child until she turned 63 years old. Filled with so much grief and sorrow, she could barely say anything except Iknow you don't understand, but I have always loved you.

My heart breaks hearing these true stories of human sorrow, emotional pain, and physical suffering.

Even though these people, good people who don't deserve all of the pain and suffering in their livesare still mostly emotionally enmeshed in the pastI can at least bring a small amount happiness in their daily lives.

Like the 62 year old daughter of the woman who was molested by her fathershe doesn't know that she is a product of incestand has never wondered why her IQ is only a small fraction above mentally retarded. Working in the same factory for over 30 yearsshe sill makes minimum wage and is lucky if her income peaks at $1000.00 a month.

I had the opportunity to visit this lovely lady who is so bright and happy. She absolutely believes that she has the best life ever and is lucky to have her double-wide trailer paid in full and plenty of groceries in her brand new refrigerator that I donated to her along with the urine stained, highly pungent odor living room furniture that I also replacedshe had a hard time letting the furniture go as it gifted to her in her 83 year old aunt's will.

In 2004, I donated over $10,000.00 to help the elderly who were legally blind to established independent living quarters, find jobs via the local blind center in Las Vegas, and donated what little time I could (United States Air Force retired) to many charitable causes.

Last year, I donated over $9000.00 (luckily for me, I won $1000.00 in a slot machine with only 4 dollars in play!) to three families to buy bedding and baby furniture along with 2 refrigerators. I have been out of work for over a year and the money I used to buy these items was borrowed I took out a credit account at a local furniture store to buy the items because I didn't have the cash money to buy the furniture with cash (

A company representative named Justice Girma Fraudulently Bait and Switch This charge paid to Nevada Corporate Headquarters was made in a fraudulent manner.

A bait and switch was performed in this to lure me to give them an initial amount for by this company. The company quoted a price to establish a non-profit organization and I agreed to the charges of approx -1500.00 and paid partial with Visa card and part with another card

THEN the company called two days later and stated that the rep misquoted the price which was -3700, but since they made the mistake the company would only charge me -1000.00 more for a total of -2500.00 (approx).

The company denied that I asked and agreed to a Non-profit org and that I only asked for a classic corporation established by them for me. I paid -1100.00 of the original quote of -1500.00 (approx) with another credit cardas stated before.

Once I realized they had bait and switched and then refused to refund my money after they INCREASED THE PRICE DUE TO THEIR OWN ADDMISSION OF A MISQUOTE, I put a hold on the -1100 credit card charge.

The manager stated that the only charge on my account indicated I wanted to establish a classic corporation. I explained to her that this was not the caseand then I went to their website and discovered that they don't even offer a Non-profit organization set-up.

After much debate with the management of the company, I put a hold on the -1100.00 and it is currently under review. I am submitting this information to Nevada Federal to protect myself if this company attempts to obtain the frozen funds from my Nevada Federal account (they have my account information from the charge indicated above.

I have reported this company to BBB, Attorney Gen Consumer Complaints Agency, the Las Vegas Police, etc. If this company attempts to make any charges to this account they are illegal and fraudulent and I do not approve of any charges made by this company.

When it comes to seeking and taking advice about the efficacy of Nevada legal entities, I believe that the consumer should rely on someone other than a promoter of Nevada companies, who makes his living setting up and maintaining Nevada entities. All of the huff and puff of such promoters about Nevada's strong ranking for asset protection (by whom, one might ask) is usually just hustle. The 100,000 dollar guarantee is another hustle. There may be some advantages to using a Nevada company UNDER CERTAIN CIRCUMSTANCES (Nevada resident, actual operations in Nevada, Nevada manufacturing or Nevada warehousing), but relentlessly pushing Nevada corporations or LLCs on the public simply on the basis of some perceived "Nevada advantage" is simply unjustifiable.

I am amazed at the number of people who continue to push the same old scam regarding Nevada corporations, using the same tactics, the same sales pitch and the same strategies. that sink most budding entrepreneurs. It doesn't work. It can't work. It's crap. Don't fall for it.

For most entities, the choice of jurisdiction is not as crucial as the bylaws (for a corporation) or the operating agreement (for a LLC). And while some simple governance matters for these defining documents may be spit out from a basic template, it really takes an expert to fashion the nuances and details to optimize both tax and asset protections for any particular business entity.

This should usually be done by an experienced lawyer, accountant or financial planner (or, better yet, a combination of these advisers) -- not a promoter whose "asset protection packet" or "corporate packet" or whatever it is they are hawking looks the same regardless of who the client is or what their particular needs are. NCH's pet product is its so-called "Family Fortress."

After considering not only the statutes, but also a state's case law and the general 'liability friendliness' tenor of the legislature's approach to corporate and personal liability issues, the Ranking analyzes all 50 states. It finds the best as Delaware. Interestingly, Nevada, which ranks 37th, is in the "worst" category. Yeah, that's right, there are 36 states ranked better than Nevada. That, coupled with the increased scrutiny that Nevada entities are undergoing right now, should give one pause about whether Nevada's really the best way to go, unless you happen to be a Nevada resident, have important Nevada contacts, or have your business either headquartered in or engaging in operations in Nevada.

Let's examine the Reality vs. Spin Let us look at each of the alleged reasons to form an entity in Nevada.

Reason 1 - Save Taxes: Forming an entity in Nevada will only allow you to avoid income taxes only if all of the revenue of the entity is derived in Nevada or states that do not have an income tax. The law of the United States is that if an LLC or a corporation formed in state #1 has a presence in state #2 that has a state income tax and if the LLC or corporation derives income from within state #2, then state #2 can tax all income derived within its borders. Thus, a Nevada LLC or corporation that operates a retail store in Arizona must report and pay Arizona state income tax on the income derived from the Arizona business.

Reason 2 - Hide or obscure Ownership: The California Court of Appeals in the well known case of Associated Vendors, Inc. v. Oakland Meat Co., Inc. (1962) 210 Cal. App. 2d 825, 26 Cal. Rptr. 806, listed facts that should be analyzed in determining if an alter ego situation exists and the corporate veil should be pierced and hold the shareholders liable for the debts of the corporation. One of the 19 negative facts the court listed is the "concealment and misrepresentation of the identity of the responsible ownership, management and financial interest, or concealment of personal business activities." If you hide your ownership of your entity and you end up in court, you will have some explaining to do to the judge or jury as to the business purpose in hiding the ownership of the company.

Reason 3 - Nevada Laws offer the best asset protection: Says who? The person who is trying to sell you a Nevada entity? Asset protection attorney and expert Jay Adkinson says "Nevada's laws are not substantially better than the laws of any other state." Randall K. Edwards, an asset protection lawyer and litigator who has been licensed to practice law in Nevada since 1983, agrees with Jay Adkinson that Nevada entity law is not better than entity laws of other states. Randall said, "I rarely recommend to any of my clients that they utilize Nevada entities, unless they have some connection to Nevada." That statement is from an attorney licensed in Nevada who forms Nevada entities. Please refer to the 2008 State Liability Systems Ranking Study prepared by the U.S. Chamber Institute for Legal Reform, which ranks Nevada 40th in a national sample of in-house general counsel or other senior corporate litigators asked to rate the states in terms of how reasonable and fair their tort liability systems are perceived by U.S. businesses.

Reason 4 - The advantage to the Series LLC: Presumably the series LLC works to segregate and limit liability among each series LLC if all of the LLC's assets and activities occur in the state of formation, the plaintiff is in the state of formation and the lawsuit is filed in the state of formation. If, however, the plaintiff is a tenant injured on property located in California that is owned by a Nevada series LLC and the lawsuit is in a California court, there is a good chance the California court will apply California law and disregard the series feature of the Nevada LLC. There are no appellate court cases that have ruled that the series LLC limits liability when the plaintiff and the court are outside the state in which the LLC was formed. Jay Adkinson said, "the non-Series state is very unlikely to apply the Series-legislation as to creditors, claimants, and other third-parties who did not agree to be bound by the Series legislation." You may want to be a pioneer and create new appellate law in your state, but I do not want my clients to hope the series LLC will work when for a relatively small cost they can form an additional LLC to hold assets.

Reason 5 The Ethics of the Corporation Formation Firm. Finally, look at the ethics with whom you are doing business in Nevada. Cort W. Christie was guilty of running a very illegal tax scam, the National Audit Defense Network. This is a proven fact. Do you want to do business with a man who founded a 300 million dollar tax scam? I hope any reasonable and sane business professional would refuse such a relationship. In addition, he ran another scam out of Tehachapi, California concerning Peruvian Gold Bearer Bonds. (Source: KGET-TV Bakersfield, CA). Mr. Christies track record certainly points to the fact that he has gotten most of his "clients" in trouble with the Internal Revenue Service and many state tax agencies.

And, I recommend a complaint filed with the Nevada Attorney General for their records. As to the Department of Treasury, please respond to Mr. J. Atkins in the Las Vegas office of the Internal Revenue Service. As for Mr. Rowley who has a convenient Utah address, please refer your complaints to the Utah Attorney General's Office in Salt Lake City, UT and the Department of Commerce in Salt Lake City, UT.

You sound like, Elaine, a former employee who was arrested for threatening our two founders and all of the employees of NCH. He was seen with guns in our parking lot threatening us. We all saw your guns. You followed Terry home and threatened home with a gun and threaten him with it. Don't you remember? You threatened your boss and incesaantly called him with gun shots. Derek and Terry had no other choice but to have you arrested and try to put into the funny farm where'd we be safe. Yu weaseled out of this, somehow, and fell off the map. Cort told us he threatened him in his place in Reno but fled before police could catch you, Elaine. Give it up already and go back to the hole you came from, will you? You're hiding. The way you go after Cort, a very honest business vsionary and a member of the YEO, and a mentor to budding young entrepreneurs. The best you can do is to harras Cort and Derek. You then get a hack attorney downtown and he hasn't stopped harassing us on some sort of personal mission to destroy Cort. Elaine (really a he), you are sick, very ill, and dangerous. The cops or us will catch up to you finally. Keep away from us or Cort's guys will finally find tyou and then teach you not to fool with us! That's theonly way you'll stop. Cort has the means.
